The 27-year-old, from Kooringal, was hit by the southbound freight train about 1.40am on Monday.
Wagga police duty officer, Inspector Peter Robertson, said the man appeared to have been lying between the tracks about one kilometre east of the Fernleigh Road level crossing.
"The train came to a stop and he was located under the train unconscious but breathing," Inspector Robertson said.
The man sustained serious head injuries and multiple abrasions.
A spokeswoman for the Ambulance Service of NSW said paramedics responded to reports a pedestrian had been hit by a train near the Glenfield Road overpass.
He was treated by paramedics at the scene, before being taken to Wagga Base Hospital in a critical condition.
It is understood he underwent emergency surgery on Monday before being flown to St George Hospital in Sydney by air ambulance about 10am.
Inspector Robertson said officers were hoping to speak with the man to obtain further details.
Investigations into the circumstances surrounding the incident are continuing.
Anyone who may have been with the man, or witnessed the incident, should contact Wagga police station on 6922 2599 or Crime Stoppers on 1800 333 000.
The train was delayed by about two hours.
