Both successfully contested striking changes at the Group Nine judiciary on Wednesday.
The incidents stem from their 8-6 win over Tumut in the qualifying final at Twickenham on Sunday.
Willis will line up in his eighth and final first grade grand final after being cleared of a medium grade striking charge.
He was facing a two-game ban, which would have ruled him out of another grand final for Gundagai next week.
The 36-year-old was relieved the decision went his way.
"It is a massive relief," Willis said.
"Coming into a grand final and missing it would be devastating.
"To sit on the hill and not participate I would be pretty filthy so it was a good result.
"I'm pretty happy with it."
Hay was equally relieved after being given the green light to line up in his first grand final for his hometown club.
The halfback was handed a low grade striking charge for an incident at the end of the game with Lachlan Bristow.
After facing a one-game ban, which would have ruled him out of the grand final, the 23-year-old is thrilled the result went his way.
"I'm relieved but I believe it is the right decision," Hay said.
"If I was guilty I would have pleaded guilty but I was not guilty so it was the right result."
Hay admitted he was worried about the video evidence but was confident they had a strong case.
Willis was sin binned for the incident with Austin McDougall with 11 minutes left in the qualifying final on Sunday.
The Tigers led 8-6 and managed to hold off the Blues to secure their place in the decider.
Now the centre is looking to repay the faith and add a third Group Nine title to his resume.
He was part of Gundagai's premierships in 2015 and 2018, but has lost three more with the Tigers as well as a grand final loss with Junee in 2010.
Willis also won a premiership playing for Collegians in 2005.
He failed at his last attempt to retire after the 2018 premiership success, but now knows it is time to step back.
"I've promised the boys, Marty (Hay) and Touty (David Tout) that I will come back next year and have a run around in reserve grade with the club," he said.
"I think that will be it for me. I don't see myself as a first grader beyond this year.
"I've played 20 years of first grade and it is definitely time to pass the baton on to the younger generation.
"We've got so many good players in our club at the moment and they are lingering in reserve grade when they should be playing first grade.
"That is the plan for me."

While Willis is coming to the end of his career, Hay will line up in his first senior grand final next week.
He can't wait for the opportunity.
Especially as it is one he didn't know would eventuate after a serious ankle injury last season.
"It is a dream come true," Hay said.
"I came from Newcastle last year and didn't know if I would be able to play.
"I worked hard to come back, and it is definitely not 100 per cent, nowhere near, but I'm here, we are there so let's go."
Hay didn't walk for three months after fracturing his fibula and dislocating his ankle in his second game for Souths in the Newcastle competition.
A serious infection led to him losing 17 kilograms, most of which he hasn't put back on, but now he can't wait for the grand final
"Everyone from Gundagai will be there and I'm sure there will be a tear in dad's eye and mum's," Hay said.
"They have been going to the footy religiously for years and years, even when me and my little brother haven't been in the senior grade.
"My grandmother too. They love it and travel every week.
"All the years I've been away every week they give me a phone call telling me how everyone is going.
"It will be a pretty proud moment for the family."
Bristow and Blues teammate Jordan Anderson will appear the judiciary on Thursday as they look to have their respective charges downgraded.
Bristow was slapped with a medium grade striking charge for the incident with Hay.
Anderson is facing a medium grade dangerous throw charge on Joel Field.
